Interpretation and Definitions

Interpretation

Words with capitalized first letters have meanings defined under the following conditions. These definitions apply regardless of whether they appear in singular or plural form.

Definitions

For the purposes of these Terms:

  • Affiliate means any entity that controls, is controlled by, or is under common control with a party.

  • Account means a unique account created for You to access First Life CRM.

  • Company (“We”, “Us”, or “Our”) refers to First Life CRM.

  • Country refers to: United States.

  • Device means any device capable of accessing the Service (computer, phone, tablet, etc.).

  • Free Trial means a limited-time free access period for certain subscription plans.

  • Service refers to the First Life CRM platform, website, software, and all related tools, features, and services.

  • Subscription refers to paid access to the Service on a recurring basis.

  • Terms refers to these Terms and Conditions.

  • Third-Party Services means any external tools, providers, or platforms integrated with the Service.

  • You refers to the individual or entity using the Service.

Acceptance of Terms

By accessing or using First Life CRM, You agree to be bound by these Terms.

If You do not agree, You may not use the Service.

You confirm that You are at least 18 years old and legally able to enter into this agreement.

Your use of the Service is also subject to our Privacy Policy, which explains how your data is collected and used.

Subscriptions

Subscription Period

Certain features of the Service require a paid Subscription.

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan).

Subscriptions automatically renew unless canceled before the next billing date.

Cancellation Policy

You may cancel your Subscription at any time by submitting a cancellation request through:

  • Your account dashboard

  • Support request

  • Official cancellation form

Cancellation requests must be submitted before your billing date to avoid renewal charges.

Once canceled:

  • Your account may be scheduled for deactivation

  • Access to the Service will end at the conclusion of your billing period

  • No refunds will be issued for unused time

Billing & Payments

You agree to provide accurate billing information at all times.

If payment fails:

  • Your account may be temporarily suspended

  • Continued non-payment may result in full account termination and data removal

Fee Changes

We may update pricing at any time.

You will receive reasonable notice before any pricing changes take effect.

Continued use of the Service after pricing updates constitutes acceptance of new fees.

Usage-Based Fees (Phone, Email, Messaging)

Certain features of First Life CRM operate on a usage-based pricing model, including:

  • SMS / MMS messaging

  • Phone calls (inbound & outbound)

  • Phone number usage

  • Email sending

  • A2P registration fees

These costs are tied to third-party providers (carriers, email systems, compliance services) and may change without notice.

You are responsible for all usage charges incurred within your account.

Free Trial

We may offer a Free Trial for select plans.

  • Billing information may be required to start a trial

  • You will not be charged until the trial ends

  • If not canceled, your Subscription will automatically begin at the end of the trial

Important:

Usage-based charges (calls, texts, emails) may still apply during the trial.

We reserve the right to modify or terminate trial offers at any time.

User Accounts & Responsibilities

You agree to:

  • Provide accurate and current account information

  • Maintain the security of your login credentials

  • Be fully responsible for all activity within your account

You must not:

  • Share your account access with unauthorized users

  • Use the platform for illegal or abusive activity

  • Misrepresent your identity

We reserve the right to suspend or terminate accounts that violate these rules.

Messaging, Email & Compliance

You agree to use First Life CRM responsibly for communication.

You may NOT:

  • Send spam or unsolicited messages

  • Contact individuals without proper consent

  • Violate email or SMS marketing regulations

You are fully responsible for:

  • Your contact lists

  • Message content

  • Compliance with applicable laws (TCPA, CAN-SPAM, etc.)

Violation may result in:

  • Immediate account suspension

  • Loss of messaging privileges

  • Permanent account termination

Carrier Services & A2P Compliance

First Life CRM integrates with third-party communication providers.

We are not responsible for:

  • Carrier delays or outages

  • Message filtering or blocking

  • Policy changes by carriers

You are responsible for:

  • Completing A2P registration correctly

  • Following messaging compliance rules

  • Avoiding spam-like behavior

Failure to comply may result in restricted messaging or account penalties.

Support Services

We offer support to help you use the platform effectively.

Support may include:

  • Technical assistance

  • Setup guidance

  • Feature explanations

Support is:

  • Provided on an as-available basis

  • Limited to platform usage (not done-for-you services unless specified)

We reserve the right to limit or revoke support access for:

  • Abuse of support channels

  • Harassment or inappropriate behavior

  • Repeated misuse outside scope

Third-Party Services

Our platform may integrate with third-party tools.

We are not responsible for:

  • Their performance

  • Data handling practices

  • Service interruptions

Use of third-party services is at your own risk.

Termination

We may suspend or terminate your account at any time if:

We are not responsible for:

  • You violate these Terms

  • You engage in abusive or illegal behavior

  • Your account becomes inactive or unpaid

Upon termination:

  • Access to the Service ends immediately

  • Data may be permanently deleted

Limitation of Liability

To the fullest extent permitted by law:

First Life CRM shall not be liable for:

  • Lost profits or revenue

  • Missed opportunities

  • Data loss

  • Business interruption

  • Indirect or consequential damages

Our total liability is limited to the amount You paid in the last billing period.

No Guarantees

The Service is provided “AS IS” and “AS AVAILABLE.”

We do not guarantee:

  • Specific results

  • Lead generation outcomes

  • System uptime without interruption

  • Compliance for your specific industry

You are fully responsible for how you use the platform.

Automation & AI Responsibility

First Life CRM may include automation and AI tools.

You are solely responsible for:

  • Messages sent

  • Workflows triggered

  • AI-generated content

  • Business outcomes

We are not liable for:

  • Incorrect automation behavior

  • Miscommunication with clients

  • Compliance violations

Advertising & Marketing Responsibility

If you run ads or campaigns:

  • You are fully responsible for your ad spend

  • We do not guarantee results

  • We do not reimburse ad costs

Performance depends on multiple external factors beyond our control.

Data Responsibility

You are responsible for:

  • Exporting your data before canceling

  • Maintaining backups if needed

We are not liable for data loss after account termination.

Governing Law

These Terms are governed by the laws of the United States.

Dispute Resolution

If a dispute arises, You agree to first attempt resolution by contacting us directly.

Changes to Terms

We may update these Terms at any time.

Continued use of the Service means You accept any changes.
